In a room with attorneys in it, somebody reads the minutes of a progress meeting held on a wet Tuesday three years earlier. What was said about the piling rig, whether the architect promised drawings by the fourteenth, whether the delay was raised at all: the answers are in that document or they are nowhere. Everyone's memory of a Tuesday three years ago has been rebuilt out of what they now need to be true. The minutes were typed in twenty minutes by whoever had the laptop open, and they are the only contemporaneous account anybody has.

What the editing involves

Site meeting minutes are the contemporaneous record most construction disputes turn on, and they fail by recording discussion instead of commitments. A minute reading "the design team confirmed drawings would be issued shortly" contains a subject nobody can identify, an obligation with no date, and an adverb standing in for a deadline. The same line written as "R. Alvarez confirmed the revised foundation drawings will be issued by 14 March" can be checked against what happened. We work through a set of minutes until every commitment carries a named person, a specific document, and a date.

What was reported and what was agreed also need to be held apart on the page. A line reading "the contractor raised concerns about access to the east elevation" records a report, and a reader three years later cannot tell whether anybody accepted it. A line reading "the meeting agreed that access to the east elevation would be cleared by 21 April" records a commitment, and it can be tested against what followed. Anything raised and left open belongs in the record as unresolved, with the name of the person who is to resolve it, because a subject missing from the minutes will later be read as evidence that nobody raised it.

Previous actions carry forward better with dates than with the word "ongoing," which records nothing except the passage of time. The circulation list and the period allowed for objection belong in the document as well, since minutes that draw no objection become the agreed record by default. We do not decide whether a delay was excusable or who bears its cost. The project manager, the contract administrator, and their own advisors decide that, and the minute we edit records the position each party took on the day.
